Terms of Service

These Terms of Service govern the use of the Trovaval platform. By creating an account, accessing the platform or participating in an auction, you agree to these Terms and the Auction Rules.

1. Operator

Trovaval is operated by Vectrai S.L.U., Santa Cruz de Tenerife, Spain.

Trovaval provides an online marketplace for artworks and acts solely as the operator of the platform connecting buyers and sellers.


2. Scope

These Terms apply to all users of the Trovaval platform, including buyers, sellers and visitors.

These Terms are supplemented by the Auction Rules, which form an integral part of these Terms and govern the conduct of individual auctions.

In the event of any inconsistency, these Terms prevail except where the Auction Rules expressly regulate auction procedures.


3. User Accounts

Users must provide accurate, complete and up-to-date information when creating an account.

Each user may maintain only one personal account unless expressly authorised by Trovaval.

Users are responsible for maintaining the confidentiality of their login credentials and for all activities carried out using their account.

Trovaval may require users to verify their identity before permitting participation in auctions or before disclosing information required to complete a transaction.


4. Buyers

By submitting a bid, a buyer makes a binding offer to purchase the artwork in accordance with these Terms and the Auction Rules.

Buyers are responsible for ensuring that they have sufficient funds before placing bids.

Participants may submit a bid of €0 where permitted by the Auction Rules.

A €0 bid constitutes valid participation in the auction but cannot result in the purchase of an artwork.

A €0 bid allows a participant who does not win the auction to choose, in accordance with the Auction Rules, whether to reveal the winning bid amount or retain the Participation Credit.

A participant may change their bid while the auction is open, subject to the conditions set out in the Auction Rules.

Changing a bid requires a new Participation Credit.

A participant may also withdraw their bid by changing it to €0.

The highest valid non-zero bid wins automatically when the auction ends.


5. Sellers

Sellers warrant that they are legally entitled to offer the artwork for sale.

Sellers are solely responsible for the accuracy of artwork descriptions, authenticity, provenance, ownership, condition and legality of the artwork.

If an artwork is sold directly during an active auction, the seller must report the sale through the direct-sale function provided by Trovaval. Reporting the sale ends the auction.

The seller must respect the current highest bid when reporting a direct sale, in accordance with the Auction Rules.


6. Purchase Agreement

Any purchase agreement resulting from an auction or direct sale is concluded exclusively between the seller and the buyer.

Trovaval acts solely as the operator of the platform and is not a party to the purchase agreement.

Trovaval is not involved in payment, shipping or the purchase contract.


7. Auction Information

Bid amounts are never disclosed to other participants.

The seller can see the current highest valid bid while the auction is running.

Participants cannot see the amounts submitted by other bidders, the current highest bid or the identity of other bidders.


8. Auction Duration

An auction may end at the end of an exhibition, after a predefined number of active bidders or at another closing point determined by the seller, depending on the auction mode chosen.

The auction remains open until its applicable closing condition has been reached.

Once the auction has ended, no further bids or changes can be made.


9. Participation Credits

Participation Credits are used to participate in auctions as described in the Auction Rules.

Changing a bid requires a new Participation Credit.

If a participant does not win an auction, the participant may choose between retaining the Participation Credit for a future auction or revealing the final winning bid amount, subject to the Auction Rules.

Participation Credits are personal and non-transferable.


10. Responsibilities of Sellers

The seller is solely responsible for the description, authenticity, condition, ownership and legal right to sell the artwork.

The seller is also responsible for completing the purchase transaction with the successful buyer.


11. Responsibilities of Buyers

The buyer is responsible for inspecting the artwork and for arranging payment, collection or delivery and, where applicable, insurance, import or export formalities and taxes.

The buyer is responsible for fulfilling all obligations arising from the purchase contract.


12. Trovaval Platform

Trovaval provides only the technical platform on which auctions are conducted.

Trovaval does not guarantee the availability, accuracy or completeness of information provided by users.

Trovaval is not responsible for disputes arising from the purchase contract between seller and buyer.

14. Suspension and Termination

Trovaval may suspend or terminate accounts where necessary to protect the platform, comply with legal obligations or respond to fraud, abuse or violations of these Terms.


15. Intellectual Property

The Trovaval name, logo, software, website design and related intellectual property belong to Trovaval or its licensors and are protected by applicable law.

Users retain ownership of content they upload but grant Trovaval the rights necessary to host, display and use that content for operating and improving the platform.


16. Availability

Trovaval strives to keep the platform available but cannot guarantee uninterrupted or error-free operation.

Temporary interruptions may occur because of maintenance, technical failures, security measures or circumstances beyond Trovaval’s reasonable control.


17. Changes to these Terms

Trovaval may amend these Terms from time to time in order to improve the platform, comply with legal requirements or introduce new functionality.

The version published on the website shall apply from the date of publication.


18. Governing Law

These Terms are governed by the laws of Spain.

Any disputes shall be subject to the jurisdiction of the competent courts in Spain, unless mandatory law provides otherwise.
